Terms & Conditions

Effective date: June 3, 2026

Please read these Terms carefully. By using Propogen, you agree to be bound by them. These Terms are governed by the laws of India.

Introduction

Welcome to Propogen (“Propogen,” “we,” “us,” or “our”). Propogen is a cloud-based software platform designed to help agencies, freelancers, consultants, and service businesses manage their entire client workflow — including leads, proposals, contracts, projects, invoices, payments, automations, team collaboration, AI-assisted tools, and more.

These Terms & Conditions (“Terms”) constitute a legally binding agreement between you (“User,” “you,” or “your”) and Propogen governing your access to and use of the Propogen platform, including all features, modules, APIs, integrations, AI capabilities, and associated services (collectively, the “Service”).

By creating an account, accepting an invitation, accessing the Service, or clicking “I agree,” you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree, you must not use the Service.

If you are using the Service on behalf of an organization, company, or other legal entity, you represent and warrant that you have authority to bind that entity to these Terms, and “you” refers to both you individually and that entity.

Eligibility and Account Registration

To use the Service, you must be at least 18 years of age, or the age of legal majority in your jurisdiction, whichever is greater. The Service is not directed at or intended for use by individuals under 18. By using the Service, you represent that you meet this requirement.

When registering for an account, you agree to provide accurate, current, and complete information. You are responsible for keeping your account information up to date and for ensuring the confidentiality of your login credentials. Propogen is not liable for any loss arising from unauthorized use of your account.

You may not create an account using a false identity, use another person's credentials without authorization, or create multiple accounts for the purpose of circumventing plan limits, suspensions, or these Terms.

Propogen reserves the right to verify your eligibility, decline registrations, and refuse service to any person or entity at its discretion, including for compliance, legal, or policy reasons.

Workspaces, Organizations, and Users

The Service is organized around workspaces. A workspace represents an individual or organization account within Propogen, under which all data, members, settings, and subscriptions are grouped.

Workspace Owners are the primary account holders responsible for the workspace. The owner is responsible for all activity that occurs within the workspace, including actions taken by members they invite or roles they assign. Workspace owners are responsible for maintaining accurate billing information and ensuring compliance with these Terms.

Admins and Members may be invited to a workspace with varying levels of access, determined by roles and permissions configured by the workspace owner or an admin. Each invited user must individually accept these Terms before accessing the Service.

Ownership Transfer: Workspace ownership may be transferred to another user through the platform settings. The outgoing owner remains responsible for all activity and charges incurred up to the point of transfer. Propogen is not responsible for disputes between parties over workspace ownership.

Client Portal Users: Workspace owners may grant external clients access to a branded client portal. Client portal access is scoped to the data explicitly shared with that client. Portal users are subject to applicable usage terms but are not granted full platform access. You are responsible for the conduct of all client portal users you authorize.

You are responsible for configuring appropriate access controls, roles, and permissions within your workspace. Propogen is not responsible for unauthorized access resulting from misconfigured permissions or compromised credentials that you control.

Use of the Platform

Subject to these Terms and payment of applicable fees, Propogen grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Service during your subscription period, solely for your internal business purposes.

The Service includes a range of modules and features, which may include but are not limited to:

  • Clients & Leads: Manage client records, lead pipelines, intake forms, and qualification workflows.
  • Forms & Responses: Create and publish intake and survey forms; collect, organize, and route responses.
  • Projects & Tasks: Create and manage client projects, task boards, milestones, and team assignments.
  • Time Tracking: Log billable and non-billable hours against projects and clients.
  • Proposals: Build, customize, send, and track client proposals.
  • Contracts: Create and manage contracts; facilitate electronic signature and acceptance flows.
  • Invoices & Payments: Generate and send invoices; collect payments via connected payment processors.
  • Storage: Upload, organize, and share files and documents with team members and clients.
  • Messages: Communicate with clients and team members through in-platform messaging.
  • Automations: Configure workflow automations triggered by events within the platform.
  • Notifications: Receive in-app, email, or other alerts about platform activity.
  • AI Captain: Access AI-powered tools to assist with lead scoring, proposal drafting, summarization, and business insights.
  • Reports & Dashboard: View analytics, revenue summaries, and operational reports across your workspace.
  • Team & Roles: Invite team members, assign roles, and manage permissions within your workspace.
  • Client Portal: Provide clients with a dedicated, branded portal for document access, invoices, and communication.
  • Integrations: Connect third-party services to extend Propogen's functionality.
  • Templates: Create and use reusable templates for proposals, contracts, forms, and other documents.
  • Plans & Billing: Manage your subscription, view usage, and update billing information.

Propogen may add, modify, limit, or remove features at any time. We will endeavor to provide reasonable notice of material feature changes. Your continued use of the Service following such changes constitutes acceptance of the updated feature set.

Subscriptions, Plans, Trials, and Billing

Subscription Plans. The Service is offered on a subscription basis. Available plans, features, pricing, and limits are described on our pricing page and may be updated from time to time. By selecting a plan, you authorize Propogen to charge the applicable fees on a recurring basis.

Trial Periods. Propogen may offer trial periods that allow access to certain features at no cost or at a reduced rate. Trials are subject to any additional conditions stated at sign-up. At the end of a trial period, your account will either convert to a paid plan or lose access to paid features, depending on whether you have provided valid payment information. We reserve the right to limit trial availability, shorten trials, or discontinue trial offers at any time.

Billing and Payment. All fees are billed in advance on a monthly or annual basis, as selected at checkout. Payments are processed through Dodo Payments, our third-party payment processor. By providing payment information, you authorize Propogen and Dodo Payments to charge the applicable fees to your payment method on each renewal date.

Propogen does not store full payment card numbers on its servers. All payment processing and card data handling is managed by Dodo Payments in accordance with applicable PCI DSS standards. Your use of Dodo Payments is subject to Dodo Payments' own terms of service and privacy policy.

Plan Upgrades and Downgrades. You may upgrade your plan at any time; upgrades take effect immediately and are prorated for the current billing cycle. Downgrades take effect at the start of the next billing cycle. Downgrading may result in loss of access to features or data that exceed the limits of your new plan.

Renewal. Subscriptions automatically renew at the end of each billing period unless cancelled before the renewal date. We may increase pricing on renewal; where required by applicable law, we will provide advance notice of price increases.

Failed Payments. If a payment fails, Propogen will attempt to retry the charge. If payment is not received within a reasonable period following the initial failure, your account may be restricted, suspended, or downgraded to a free or limited tier. Propogen is not responsible for loss of access or data resulting from non-payment.

Taxes. All fees are exclusive of applicable taxes, levies, duties, or similar governmental assessments (e.g., VAT, GST, sales tax). You are responsible for all taxes associated with your purchase, except where Propogen is required by law to collect and remit such taxes on your behalf.

Cancellation. You may cancel your subscription at any time through your account settings or by contacting support. Cancellation takes effect at the end of your current billing period. You will retain access to paid features until that date.

Refund Policy. All subscription fees are non-refundable except as described here. If you are a first-time paying subscriber, you may request a full refund within 7 days of your initial payment by contacting support@propogen.com. After the 7-day window, no refunds will be issued — including for unused portions of a billing period, partial months, plan downgrades, or renewals. Refunds are not available for accounts suspended or terminated for violation of these Terms. This policy applies to both monthly and annual plans. Where applicable law in your jurisdiction provides stronger consumer refund rights, those rights are not affected by this policy.

Usage Limits and Plan Restrictions

Each subscription plan includes defined limits on resources and features, which may include (without limitation): the number of workspace seats, active clients, leads, forms, proposals, contracts, invoices, automations, storage capacity, AI credits or queries, client portal access, and integrations. These limits are stated on our pricing page and may vary between plans.

If you reach or exceed the limits associated with your plan, you may be prompted to upgrade, or access to the relevant feature may be restricted until you upgrade or your usage falls within plan limits. Propogen will make reasonable efforts to notify you before hard limits are enforced.

Excessive, automated, or programmatic usage that places unreasonable load on the Service, circumvents rate limits, or is designed to exploit plan pricing may result in rate throttling, temporary suspension, or account termination. Propogen reserves the right to define and enforce fair-use policies to protect platform stability for all users.

You may not create multiple accounts, share credentials, or otherwise attempt to circumvent plan limits. Such behavior constitutes a material breach of these Terms.

Customer Content and Data

Ownership.You retain full ownership of all data, content, files, and information that you upload, enter, create, or transmit through the Service (“Customer Content”). Customer Content includes, without limitation: client records, lead data, form submissions, project information, tasks, time logs, proposals, contracts, invoices, messages, uploaded documents, images, and any other materials.

License to Propogen. By using the Service, you grant Propogen a limited, non-exclusive, worldwide, royalty-free license to access, process, store, display, and use your Customer Content solely as necessary to provide, operate, maintain, and improve the Service. This license does not include the right to sell, sublicense, or disclose your Customer Content to third parties except as necessary to operate the Service or as required by law.

Your Responsibility. You are solely responsible for the accuracy, legality, integrity, and appropriateness of all Customer Content you submit. You represent and warrant that you have all rights, consents, and permissions necessary to upload and use such content through the Service, and that your Customer Content does not violate any applicable law, regulation, or third-party intellectual property right.

Client and Third-Party Data. If you collect, enter, or process personal data of your clients or other third parties through Propogen (e.g., client contact details, form responses, invoice recipients), you are responsible for ensuring you have a lawful basis to process that data and for complying with all applicable data protection and privacy laws, including but not limited to GDPR, CCPA, and any other applicable regulations.

Feedback.If you provide suggestions, ideas, or feedback about the Service (“Feedback”), you grant Propogen a perpetual, irrevocable, royalty-free license to use that Feedback to improve the Service without any obligation to compensate you or keep it confidential.

AI Captain and Automated Features

Propogen includes artificial intelligence features, including AI Captain, which may assist with lead scoring, proposal drafting, content generation, summarization, answering questions, and surfacing insights from your workspace data.

AI-generated outputs — including proposals, contracts, messages, summaries, and recommendations — are provided for assistance only. They may be inaccurate, incomplete, or outdated. You must independently review all AI-generated content before relying on it, sharing it with clients, or using it for any business-critical purpose.

Not Professional Advice. AI Captain does not provide legal, financial, accounting, tax, regulatory, or business advisory services. Nothing generated by AI Captain constitutes professional advice of any kind. You should consult qualified professionals before acting on any AI-generated output that touches on legal, financial, or regulatory matters.

User Responsibility for AI Outputs. Any proposals, contracts, invoices, messages, automations, or other documents generated or modified using AI features remain your sole responsibility. Propogen is not liable for any loss, dispute, or harm arising from your reliance on AI-generated content.

AI Actions and Approvals. Certain AI-powered automation actions may require your explicit approval before execution. You are responsible for all actions you approve, regardless of whether the action was suggested by an AI system. You should not approve AI-suggested actions without reviewing them carefully.

Logging and Monitoring. Propogen may log AI prompts, model inputs, outputs, tool calls, suggestions, and user approvals for the purposes of service operation, safety monitoring, debugging, and quality improvement. Logs may be retained in accordance with our Privacy Policy.

EU AI Act Compliance. Where the Service includes AI systems that interact directly with users, Propogen will make reasonable disclosures in accordance with applicable AI transparency requirements, including the EU AI Act. You agree to interact with AI features only for lawful, non-harmful purposes.

Third-Party AI Providers.AI Captain and related AI features are currently powered by OpenAI (GPT-4o). By using AI features, you acknowledge that your prompts and inputs may be transmitted to OpenAI and processed in accordance with OpenAI's terms of service and privacy policy. Propogen configures the OpenAI API with settings designed to prevent your data from being used to train OpenAI's models, to the extent permitted by the applicable API agreement. Propogen may change or add AI providers in the future and will update this section accordingly.

You must not use AI features for any unlawful, deceptive, or harmful purpose, including but not limited to: generating fraudulent documents, creating spam or phishing content, impersonating individuals, or producing content that violates applicable law or these Terms.

Automations and Workflows

The Service allows you to configure automated workflows that trigger actions based on platform events, such as: sending notifications or messages, updating record statuses, creating tasks, scheduling follow-ups, and other workflow operations.

Your Responsibility. You are solely responsible for the design, configuration, testing, and ongoing management of any automations you create. You should thoroughly test automations before relying on them in live client-facing workflows. Propogen strongly recommends reviewing automations in a test environment before enabling them for production use.

Automation Actions. Automations you configure may send messages to clients, update records, trigger integrations, or take other actions within the platform. You are responsible for all actions triggered by your automations, including unintended or erroneous actions resulting from misconfiguration.

Propogen is not responsible for any direct or indirect loss, including client relationship damage, financial loss, or reputational harm, arising from misconfigured or malfunctioning automations, except to the extent such loss results directly from a defect in the Propogen platform itself and where not otherwise excluded by applicable law.

Propogen reserves the right to limit, pause, or disable automations that place excessive load on the Service or that appear to be used in violation of these Terms.

Proposals, Contracts, Invoices, and Payments

Propogen provides tools to help you create, send, and manage proposals, contracts, invoices, and payment workflows. These tools are made available for operational convenience and do not constitute legal, financial, accounting, or tax advice.

No Professional Advice. Templates, document builders, and AI-generated document content are provided as starting points only. You are responsible for reviewing all documents for legal validity, completeness, and enforceability before sending them to clients. Propogen recommends consulting a qualified legal professional before using any contract template in a binding transaction.

Electronic Signatures. The Service may provide electronic signature or acceptance flows to capture client agreement on contracts and proposals. Propogen provides this functionality as a tool only. You are solely responsible for determining whether electronic acceptance is legally sufficient for your specific documents, use case, and jurisdiction. Propogen makes no warranty, express or implied, that electronic signatures or acceptance flows facilitated through the platform are legally enforceable in any jurisdiction. Propogen shall not be liable for any claim, dispute, or loss arising from the unenforceability of any electronically signed or accepted document.

Payment Processing.Invoice payment collection is facilitated through Dodo Payments or other connected third-party payment processors. Payment processing is governed by the applicable processor's terms of service. Propogen acts as a platform intermediary and is not a party to payment transactions between you and your clients.

Taxes, Compliance, and Disputes. You are solely responsible for: the accuracy of invoices you send; applicable taxes, VAT, GST, and other fiscal obligations on transactions you conduct; compliance with financial regulations in your jurisdiction; client refunds and disputes; and chargeback handling with your payment processor. Propogen is not liable for any tax obligations, payment disputes, chargebacks, or regulatory non-compliance arising from your use of invoicing and payment features.

Third-Party Integrations

The Service may allow you to connect third-party applications, services, and APIs (such as Stripe, Slack, HubSpot, Typeform, QuickBooks, Google Workspace, Zapier, and others).

Authorization. By connecting a third-party integration, you authorize Propogen to exchange data between the Service and that third-party service on your behalf, to the extent necessary to provide the integration functionality.

Third-Party Terms. Each third-party service you connect has its own terms of service and privacy policy. You are responsible for reviewing and complying with those terms. Propogen is not a party to your agreement with any third-party provider and does not endorse any third-party service.

No Liability for Third-Party Services.Propogen is not responsible for the availability, reliability, accuracy, or security of any third-party service you connect. We are not responsible for any loss, data exposure, or service disruption caused by a third-party provider's actions, outages, or changes to their API or service terms.

Credential Management. You are responsible for maintaining valid credentials, API keys, and access permissions for all third-party integrations you configure. You should promptly revoke or rotate credentials if you believe they have been compromised. Propogen will store integration credentials with reasonable security measures.

Acceptable Use Policy

You agree to use the Service only for lawful purposes and in accordance with these Terms. The following activities are strictly prohibited:

  • Using the Service in any way that violates applicable local, national, or international law or regulation.
  • Sending unsolicited commercial messages, spam, bulk email, or other unauthorized communications through any messaging or notification feature.
  • Using the Service to engage in phishing, fraud, impersonation, or any deceptive activity.
  • Uploading, distributing, or transmitting malware, viruses, ransomware, or any harmful or malicious code.
  • Configuring automations in a manner designed to send abusive, harassing, or illegal messages to clients or third parties.
  • Attempting to gain unauthorized access to the Service, other user accounts, Propogen's systems, or any third-party systems connected to the Service.
  • Scraping, crawling, or systematically extracting data from the Service without Propogen's prior written consent.
  • Reverse engineering, decompiling, disassembling, or otherwise attempting to derive the source code or underlying architecture of the Service.
  • Uploading content that infringes the intellectual property, privacy, or other rights of any third party.
  • Using the Service to store, process, or transmit illegal content, including material that is defamatory, obscene, or in violation of applicable laws.
  • Using the Service to process or store sensitive categories of personal data (such as health or financial data) without appropriate legal basis and safeguards.
  • Using AI features to generate deceptive, hateful, discriminatory, or otherwise harmful content.
  • Using AI features to impersonate individuals or create fraudulent documents.
  • Circumventing, exploiting, or attempting to bypass plan limits, rate limits, or access controls.
  • Reselling, sublicensing, or otherwise commercializing access to the Service without Propogen's express written consent.
  • Interfering with or disrupting the integrity or performance of the Service or its underlying infrastructure.

Propogen reserves the right to investigate any suspected violation of this Acceptable Use Policy and to take appropriate action, including suspension or termination of access, reporting to law enforcement, and pursuing legal remedies.

Intellectual Property

Propogen's IP.Propogen and its licensors own all rights, title, and interest in and to the Service, including but not limited to: the platform software, source code, architecture, user interface design, visual assets, branding, trademarks, logos, documentation, APIs, AI models and prompts, and any other proprietary technology. These are protected by copyright, trademark, and other applicable intellectual property laws. Nothing in these Terms grants you any right to use Propogen's trademarks, logos, or branding without prior written permission.

Your Content. As stated in Section 7, you retain ownership of your Customer Content. The limited license you grant Propogen is described in Section 7 and does not affect your ownership.

Restrictions.You may not: copy, reproduce, distribute, or create derivative works of the Service; use any portion of the Service in a competing product; remove or obscure any proprietary notices or labels on the Service; or transfer your rights under these Terms to any third party without Propogen's written consent.

DMCA and Copyright Complaints. If you believe that your copyrighted material has been uploaded to the Service without authorization, please send a notice to legal@propogen.com with sufficient detail to identify the allegedly infringing material and to contact you. We will respond to valid DMCA takedown notices in accordance with applicable law.

Confidentiality

In the course of using the Service, you may have access to information about other team members, clients, and workspace operations that is non-public or sensitive in nature. You agree to treat such information with appropriate care and not to disclose it to unauthorized parties.

You are responsible for configuring your workspace's access controls so that sensitive client or business data is accessible only to authorized users. You should apply the principle of least privilege when assigning roles and permissions.

Propogen treats your Customer Content as confidential and will not access, use, or disclose it except as required to provide the Service, comply with legal obligations, enforce these Terms, or as otherwise permitted by our Privacy Policy. Propogen employees and contractors who may access Customer Content as part of operating the Service are bound by confidentiality obligations.

Security

Propogen implements industry-standard technical and organizational security measures designed to protect the Service and Customer Content against unauthorized access, loss, disclosure, and destruction. These measures include, where appropriate: encryption in transit (TLS), encrypted storage, access controls, vulnerability monitoring, and security auditing.

Your Responsibilities. You are responsible for: maintaining the confidentiality and security of your account credentials; using strong, unique passwords and enabling multi-factor authentication where available; controlling who you invite to your workspace and what permissions they receive; promptly revoking access for former team members; and keeping your integration credentials and API keys secure.

Reporting Security Issues. If you become aware of any unauthorized access to your account, a suspected security vulnerability, or any other security-related concern, you must notify Propogen promptly at security@propogen.com.

No platform can guarantee absolute security. Propogen does not warrant that the Service is immune to all security threats and disclaims liability for security breaches that are outside its reasonable control, including breaches resulting from your own account mismanagement or third-party service vulnerabilities.

Suspension and Termination

Your Right to Cancel. You may cancel your account or subscription at any time through your account settings. Cancellation takes effect at the end of your current billing period.

Suspension by Propogen. Propogen may suspend or restrict your access to the Service immediately and without notice if: (a) you fail to pay applicable fees when due; (b) we reasonably believe your account poses a security risk to the platform or other users; (c) your use of the Service violates these Terms, our Acceptable Use Policy, or applicable law; or (d) we are required to do so by law or a governmental authority.

Termination by Propogen.Propogen may terminate your account with 30 days' notice for any reason, or immediately in the event of a material breach of these Terms. In the event of termination for cause (such as fraud, illegal activity, or serious policy violation), no refund will be issued for any prepaid period.

Data After Termination. Following account termination or cancellation, you will have a period of 30 days to export or retrieve your Customer Content. After this period, Propogen may permanently delete your account data. Propogen is not responsible for any loss of data following termination. We recommend exporting your data before cancelling.

Effect of Termination. Upon termination, your license to use the Service is revoked. Client portal access for clients associated with your workspace will also be terminated. Provisions of these Terms that by their nature should survive termination (including intellectual property, limitation of liability, indemnification, and governing law) will continue to apply.

Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTY OF ANY KIND. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, PROPOGEN EXPRESSLY DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING BUT NOT LIMITED TO: WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND UNINTERRUPTED OR ERROR-FREE ACCESS.

Propogen does not warrant that:

  • The Service will be available at all times or free from interruptions, bugs, or errors.
  • AI-generated outputs will be accurate, complete, current, or suitable for your intended use.
  • Third-party integrations will function consistently or without interruption.
  • The Service will meet all of your business requirements.
  • Any document template or automation you configure will produce the legal or operational outcome you intend.

Nothing in the Service constitutes professional advice. Users should consult qualified legal, financial, tax, or business advisors for advice specific to their circumstances.

Some jurisdictions do not allow the exclusion of implied warranties. In such jurisdictions, the above exclusions apply only to the extent permitted by applicable law.

Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL PROPOGEN, ITS AFFILIATES, DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY: INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES; LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITIES; COSTS OF PROCUREMENT OF SUBSTITUTE GOODS OR SERVICES; OR ANY LOSS ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SERVICE — EVEN IF PROPOGEN HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, PROPOGEN'S TOTAL CUMULATIVE LIABILITY TO YOU ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF: (A) THE TOTAL FEES ACTUALLY PAID BY YOU TO PROPOGEN IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM; OR (B) ONE HUNDRED US DOLLARS (USD $100).

The limitations above reflect a reasonable allocation of risk between the parties and are a fundamental basis of the bargain between Propogen and you. Propogen would not provide the Service on the terms herein without these limitations.

Some jurisdictions do not allow the limitation or exclusion of certain damages. In such jurisdictions, the limitations and exclusions above apply only to the maximum extent permitted by applicable law. Propogen's liability in those jurisdictions is limited to the minimum extent the law allows.

Indemnification

You agree to defend, indemnify, and hold harmless Propogen and its affiliates, directors, officers, employees, and agents from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:

  • Your Customer Content, including any claim that it infringes a third-party right or violates applicable law.
  • Your use of the Service in violation of these Terms or applicable law.
  • Your clients' use of any client portal access you have granted.
  • Automations, workflows, or AI actions you configured or approved that caused harm to a third party.
  • Proposals, contracts, invoices, or payment transactions you conducted through the Service.
  • Your failure to collect, remit, or comply with tax obligations on transactions you process.
  • Payment disputes, chargebacks, or client complaints arising from your business operations.
  • Any third-party integration you connected or credentials you provided.

Propogen reserves the right to assume exclusive control of the defense of any matter subject to indemnification at your expense. You agree to cooperate with Propogen's defense of such claims and not to settle any claim without Propogen's prior written consent.

Governing Law and Dispute Resolution

These Terms, and any dispute or claim arising out of or in connection with them or the Service, shall be governed by and construed in accordance with the laws of India, including the Information Technology Act, 2000, the Indian Contract Act, 1872, and any other applicable Indian legislation, without regard to conflict of law principles.

Dispute Resolution. In the event of any dispute, controversy, or claim arising out of or relating to these Terms or the Service, the parties shall first attempt to resolve the matter amicably through good-faith negotiation. If the dispute is not resolved within 30 days of written notice, either party may refer the matter to binding arbitration conducted under the Arbitration and Conciliation Act, 1996 (India), by a sole arbitrator mutually agreed upon by the parties. The seat and venue of arbitration shall be India. The language of arbitration shall be English.

Notwithstanding the above, Propogen reserves the right to seek urgent injunctive or interim relief from a court of competent jurisdiction in India to prevent unauthorized use of the Service, infringement of intellectual property, or any other irreparable harm.

You agree that any claim or cause of action arising from or related to these Terms or the Service must be filed within one (1) year after the cause of action arose, or it shall be permanently barred, to the extent permitted by applicable law.

Changes to These Terms

Propogen reserves the right to update or modify these Terms at any time. When we make changes, we will update the “Effective date” at the top of this page.

For material changes — those that significantly affect your rights or obligations — we will provide at least 30 days' advance notice by email (to the address on your account) or via an in-platform notice. For non-material changes, such as clarifications or corrections, we may update the Terms without individual notice.

Your continued use of the Service after the effective date of any updated Terms constitutes your acceptance of those changes. If you do not agree to the updated Terms, you must stop using the Service before the effective date and cancel your account.
